Advisory Services
Three Defined Pathways Through the Licensing Process
Each service addresses a distinct stage or set of requirements in the foreign business licensing process. Select the engagement that matches your current position — or begin with eligibility mapping to determine which pathway applies.
Back to HomeOur Methodology
How Each Engagement Is Conducted
Every engagement with Bodhi Counsel follows a defined structure. We begin with a clear description of what is being asked of us — an eligibility assessment, an application, or a coordinated dual-track proceeding. We then agree the scope in writing, commence the work, and produce a written deliverable at the conclusion. This approach is consistent across all three services.

Written Deliverable

Eligibility and Category Mapping
A short written advisory that maps an intended business activity against the lists annexed to the Foreign Business Act and adjacent regimes such as Board of Investment promotion. The deliverable is a plain-language note describing whether the activity falls within a restricted category, what licensing pathways exist, and what conditions are likely to apply. Suited to overseas founders considering market entry into Thailand.
- Analysis of activity against Annexes 1, 2, and 3 of the FBA
- Assessment of BOI promotion eligibility where applicable
- Plain-language written advisory note as deliverable
- Description of likely conditions and compliance requirements
Application Drafting and Submission
Preparation of a foreign business licence application, including business plans, organisational charts, financial projections, and supporting documentation in the form expected by the Ministry of Commerce. The engagement covers application drafting, submission, and follow-up with the licensing committee through to issuance or considered alternative. Suited to overseas-owned operating companies entering Thailand directly.
- Full application documentation package preparation
- Business plan, financial projections, and organisational chart
- Ministry of Commerce submission and committee follow-up
- Attendance at any committee meetings requiring applicant representation
Combined FBL and Investment Promotion Package
A coordinated engagement that pursues a foreign business licence alongside an application for Board of Investment promotion, where the activity qualifies. The work covers eligibility analysis, dual-track preparation, attendance at sub-committee meetings, and a written end-of-engagement memorandum describing the conditions attached to each approval. Suited to substantial inbound projects in priority sectors.
- Dual eligibility analysis — FBA categories and BOI promoted activities
- Coordinated preparation of both applications for consistency
- Attendance at BOI sub-committee meetings included
- Written closing memorandum on conditions attached to each approval

Standards Across All Engagements
Protocols That Apply to Every Matter
Confidentiality
Business plans, financial projections, and ownership information are handled under a formal confidentiality framework. Access is restricted to the advisers directly responsible for the engagement.
Written Scope
Every engagement is defined in writing before it begins. The scope document confirms the deliverable, the fee, and what is included. No work commences without a signed scope agreement.
Legislative Grounding
Advice references the Foreign Business Act, relevant ministerial notifications, and available administrative guidance. Positions are stated with reference to the relevant text.
Substantive Updates
Clients are informed of material developments during an engagement. Progress updates are written, describing what has occurred and what the next step involves.
Data Protection
Client information is held securely and not shared with third parties outside the engagement without consent. Data handling practices comply with applicable Thai data protection requirements.
Quality Review
Application documentation and written advisory notes are reviewed internally before submission or delivery. Drafts are checked against the relevant legislative text and current Ministry expectations.
Fixed Fees
Transparent Pricing for Each Engagement
All fees are fixed and stated in Thai Baht. No time-based billing applies within the defined scope.
