Selected Engagement Accounts
Eligibility Assessment for a SaaS Platform Seeking Thai Market Entry
The Situation
A Singapore-incorporated company offering cloud-based business management software sought to establish a direct sales and support operation in Thailand. Previous advice had suggested no licence was required. The founder was uncertain and sought a second assessment.
The Engagement
Bodhi Counsel conducted an Eligibility and Category Mapping advisory. The activity was mapped against Annex 3 and the applicable Ministry notifications. A written note was produced describing the classification position, the relevant licensing pathway, and the documentation that would be required for an application.
The Outcome
The advisory confirmed the activity fell within a restricted category requiring a licence. The client used the note to brief its board, adjusted its entry timeline to account for the licensing process, and subsequently engaged Bodhi Counsel for the application drafting. Licence issued within the regulatory timeframe.

Combined FBL and BOI Engagement for an Industrial Components Facility
The Situation
A German manufacturing group sought to establish a wholly owned Thai subsidiary to produce precision components for the automotive sector. The activity qualified for Board of Investment promotion but also required a foreign business licence given the majority foreign ownership.
The Engagement
Bodhi Counsel conducted a combined engagement over approximately four months. The FBL and BOI applications were prepared in coordination to ensure consistency in activity description, employment commitments, and capital figures. Two sub-committee meetings were attended by the practice on behalf of the client.
The Outcome
Both approvals were obtained. The closing memorandum described the conditions attached to each — the ongoing employment obligations under the FBL and the tax privilege period under the BOI promotion — and was used by the client's German parent in its project reporting. The facility commenced operations within the planned schedule.

Application for a Foreign Business Licence — Management Consulting Services
The Situation
A UK-incorporated management consulting firm sought to operate directly in Thailand following several years of serving Thai clients from offshore. The activity fell within Annex 3 of the Foreign Business Act. A previous application had been returned by the Ministry for inadequate supporting documentation.
The Engagement
Bodhi Counsel was engaged for the Application Drafting and Submission service. The previous application materials were reviewed and the deficiencies identified. A revised business plan was prepared with greater specificity on the client's Thai-market activity, financial projections, and proposed technology transfer arrangements.
The Outcome
The revised application was accepted and the licence issued following a single committee review. The client has since expanded its Bangkok team and is now operating under the licence terms without issue. The engagement was completed within the fixed fee agreed at the outset.
